General Terms of Use

These Terms govern access to and use of services provided by NurixVLegal through NurixVLegal.pro, including consulting, compliance assessments, and related materials. By using our site or engaging our services you accept these Terms. Where a written engagement letter exists, its terms supplement these Terms and prevail in case of conflict.

Eligibility to use our services

Services are available to individuals and entities that have the legal capacity to enter contracts in their jurisdiction. Users must provide accurate information and comply with applicable laws when using our services. We reserve the right to decline service where provision would be unlawful or inconsistent with our professional standards.

You must be at least 18 years old to use our services or have a legal representative who can enter binding agreements on your behalf. For businesses, the user must be authorized by the organization to bind it to these Terms.

Users agree not to use our services for illegal activities, to facilitate fraud, or to engage in conduct that violates applicable laws or third-party rights. NurixVLegal may refuse service or suspend accounts suspected of unlawful use.

Our services are provided primarily for clients operating in Malaysia. Availability in other jurisdictions may be limited by local law. Clients outside Malaysia remain responsible for ensuring use of our services complies with relevant laws.

Account obligations

Clients may create accounts to access certain tools and receive communications. Account holders are responsible for maintaining accurate information and for actions taken through their accounts.

You must provide truthful, complete, and up-to-date information. NurixVLegal may verify information where necessary to deliver services or meet legal obligations.

Protect account credentials and notify us immediately if you suspect unauthorized access. You are responsible for activity under your account unless caused by our negligence.

Accounts are personal and non-transferable except with our prior written consent. Any attempt to transfer or sell account access may result in suspension.

If you believe your account has been compromised, notify us immediately at privacy@NurixVLegal.pro so we can take steps to secure the account and advise on next steps.

We may suspend or restrict access to accounts for security reasons, suspected misconduct, or failure to comply with these Terms. We will inform you when practicable and provide reasons for suspension where appropriate.

Services provided

NurixVLegal provides legal consulting and advisory services focused on operational compliance, regulatory interpretation, contract review, and risk assessment for businesses. Services are delivered through consultations, written reports, templates, and training materials, as specified in engagement documents.

We may modify service features, documentation, or availability. Substantial changes that materially affect service delivery will be communicated to affected clients in a timely manner.

While we aim to provide reliable access, certain services or parts of the website may be unavailable due to maintenance, technical issues, or external factors. We do not warrant uninterrupted availability of online tools.

User conduct rules

When using our services or interacting with our staff, users must adhere to the following conduct rules:

  • Comply with all applicable laws and regulatory requirements when seeking or implementing advice.
  • Provide accurate and complete information necessary for us to perform services effectively.
  • Do not use our services to transmit malicious code, infringing material, or content that violates third-party rights.
  • Respect the privacy and confidentiality of other clients and do not seek access to their accounts or materials.
  • Refrain from impersonation, misrepresentation, or fraudulent activity when interacting with our team.
  • Do not attempt to circumvent security measures or engage in automated scraping of our website without prior authorization.
  • Follow reasonable instructions from our staff regarding access to systems, documentation, and onsite visits when applicable.

User content and submissions

Clients may provide documents, data, or other materials necessary for the provision of services. Such materials are referred to as User Content.

You retain ownership of User Content you submit, subject to any rights you grant to us for the purpose of delivering services. You represent that you have the right to submit such content.

By submitting User Content, you grant NurixVLegal a non-exclusive, limited license to use, reproduce, and process that content solely to provide contracted services, comply with legal obligations, and improve service delivery.

You are responsible for ensuring User Content does not contain unlawful or infringing material. NurixVLegal is not liable for third-party claims arising from User Content you provide.

Requests to remove User Content used in service delivery will be assessed in light of contractual obligations, legal retention requirements, and the need to preserve records for professional and regulatory reasons.

Intellectual property

All materials, methodologies, templates, software, and content produced and provided by NurixVLegal remain our intellectual property unless expressly assigned in writing. Clients receive only the rights expressly granted in engagement documents.

  • Do not copy, reproduce, distribute, or create derivative works from NurixVLegal proprietary materials except as permitted by contract.
  • Do not remove or alter intellectual property notices or attributions on our materials.
  • Seek written consent before using our activity, logos, or identifying marks for publicity or third-party disclosure.

Paid services and fees

Certain NurixVLegal services are provided for a fee. Fees, billing cycles, and scope of paid services will be set out in engagement letters or invoices.

Pricing is based on agreed hourly rates, fixed fees, or project fees as documented in the engagement letter. Fees do not include out-of-pocket expenses, taxes, or regulatory fees unless stated.

Payments are due as specified in invoices or engagement letters. Accepted payment methods will be specified and may include bank transfer or other electronic payment methods. Timely payment is required to continue service delivery.

Subscription services, if offered, are billed according to the subscription schedule in the engagement or order form. Termination or changes to subscription terms follow the procedures set out in those documents.

Refunds are handled on a case-by-case basis and depend on the nature of the service and the terms of the engagement. Refunds will be processed in accordance with applicable law and the specific terms agreed with the client.

Clients may cancel services subject to the notice and cancellation provisions set out in the engagement letter. Cancellation may incur fees for work performed up to the cancellation date.

Clients are responsible for any taxes, duties, or levies imposed by governmental authorities in relation to fees charged. Where required, taxes will be charged in addition to quoted fees.

Price adjustments may occur for long-term or recurring engagements with prior notice. Significant changes will be communicated and documented in revised engagement terms.

Failure to pay amounts due may result in suspension of services or termination of the engagement. We may pursue collection through legal channels where necessary.

Disclaimer of legal advice

Information and publications provided by NurixVLegal are for general informational purposes related to business law and operational compliance. They do not substitute for tailored legal advice on specific matters. Clients should seek detailed advice for their particular circumstances.

Limitation of liability

To the extent permitted by law, NurixVLegal's liability for claims arising from services is limited to direct damages proven to result from our breach of these Terms or negligence. We are not liable for indirect, incidental, or consequential losses, except where mandatory law requires otherwise.

Third-party services and providers

We may engage third-party service providers for tasks such as document hosting, payment processing, or specialist advice. Use of third parties will be managed under appropriate agreements and data protection safeguards. NurixVLegal is not responsible for third-party acts beyond our reasonable control.

Termination of services

Either party may terminate an engagement in accordance with the termination provisions set out in the engagement letter. Immediate termination may occur for material breach, unethical conduct, or legal prohibitions.

On termination, outstanding fees and reimbursable expenses become payable. We will return or dispose of client materials as agreed, subject to legal retention obligations and professional recordkeeping requirements.

Privacy and data protection

Our handling of personal data is governed by the Privacy Policy available at NurixVLegal.pro/privacy. That policy explains the categories of data we collect, purposes of processing, legal bases, data subject rights, and contact details.

Communications and notices

Notices and communications under these Terms may be sent electronically to the primary email address on file or by post to the address provided. Electronic communications are effective upon sending unless a delivery failure notice is received.

Changes to the Terms

We may revise these Terms from time to time. Material changes will be notified to clients in advance where reasonably practicable. Continued use of services after changes are published constitutes acceptance.

Governing law

These Terms are governed by the laws of Malaysia. Disputes arising in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise agreed in writing.

Dispute resolution

If a dispute arises, parties should attempt to resolve it through good faith discussion. If settlement cannot be reached, the dispute may proceed in the courts of Malaysia. Specific engagements may include alternative dispute resolution provisions as agreed in writing.
